Terms of Service
These Terms of Service (“Terms”) govern your use of the Klavo platform and website operated by Klavo, Inc. (“Klavo,” “we,” or “us”). By creating an account or using the service you agree to these Terms. If you use Klavo on behalf of a company, you confirm that you have authority to bind that company.
1. The service
Klavo is a B2C CRM and marketing platform for ecommerce brands. It provides customer data management, email, SMS, and WhatsApp campaign tools, automation flows, reporting, and AI-assisted content features. We may modify, add, or remove features over time, and we will give reasonable notice of material changes that affect paid plans.
2. Accounts
- You must provide accurate information and keep it up to date.
- You are responsible for safeguarding your login credentials and for all activity under your account.
- You must be at least 18 years old and able to enter into a binding contract.
- Notify us promptly at [email protected] if you suspect unauthorized access.
3. Plans, fees, and billing
- The Free plan is subject to contact and feature limits described on the pricing section of our website.
- Paid plans are billed in advance monthly, in USD, based on your active contact count and selected channels.
- Fees are non-refundable except where required by law. Downgrades take effect at the next billing cycle.
- We may change prices with at least 30 days’ notice; changes apply from your next renewal.
- Failure to pay may result in suspension of the account after written notice.
4. Your content and data
You retain all rights to the customer data, message content, images, and other materials you upload or send through Klavo (“Your Content”). You grant us a limited license to host, process, and transmit Your Content solely to provide the service, for example by delivering a campaign you created or syncing a profile field from your store.
You represent that you have all rights and consents necessary to send marketing messages to your contacts, including opt-in records for SMS and WhatsApp, and that Your Content complies with applicable law.
5. Acceptable use
You agree not to use Klavo to:
- Send unsolicited or unlawful messages, or messages without required consent.
- Promote illegal products, deceptive schemes, or content that infringes third-party rights.
- Upload malware, scrape the service, or interfere with its normal operation.
- Attempt to access other customers’ data or bypass security controls.
- Resell the service without a written partnership agreement.
We may suspend accounts that violate these rules, with notice where practical, and terminate repeat offenders.
6. Messaging compliance
You are responsible for complying with messaging laws and carrier requirements that apply to your sends, including consent, identification, and opt-out handling (for example STOP/START keywords for SMS). Klavo provides tools to help you comply, but the legal responsibility for your campaigns remains yours.
7. AI features
AI-assisted features generate suggestions based on your account data and general models. You review AI output before sending and are responsible for the final content. We do not use Your Content to train foundation models shared across customers.
8. Third-party services
Klavo integrates with third-party platforms such as ecommerce stores, messaging carriers, and payment providers. Your use of those services is governed by their own terms. We are not responsible for third-party services’ acts or omissions.
9. Intellectual property
Klavo, including its software, design, logos, and documentation, is owned by Klavo, Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the service during your subscription. Feedback you send us may be used to improve the product without obligation.
10. Termination
You may cancel your subscription at any time from account settings; cancellation takes effect at the end of the current billing period. We may terminate or suspend access for material breach of these Terms with 14 days’ notice, or immediately for serious violations such as unlawful messaging or security abuse. On termination you may export Your Content for 30 days; after that it is deleted per our retention policy.
11. Disclaimers
The service is provided “as is” and “as available.” To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation, or specific campaign results.
12. Limitation of liability
To the fullest extent permitted by law, Klavo’s total liability arising out of or related to the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Klavo is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data.
13. Indemnification
You agree to indemnify and hold harmless Klavo, Inc. and its officers, employees, and agents from claims arising out of Your Content, your use of the service, or your violation of these Terms or applicable law, including messaging compliance claims from your contacts.
14. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where consumer protection law requires otherwise.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email or in-product notice at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.
